3. Client Obligations

To ensure the successful completion of your project, you agree to:

• Provide all necessary assets (text, images, credentials) in a timely manner.

• Review and provide feedback on deliverables within the agreed-upon timeframes.

• Ensure that any content you provide to us does not infringe on the intellectual property rights of others.

4. Intellectual Property Rights

4.1. Our IP

Startuplair retains all rights to the underlying code, pre-existing libraries, design tools, and frameworks used to create your project. We grant you a perpetual, non-exclusive license to use these underlying elements for the operation of your specific project.

4.2. Client IP

Upon full payment of all fees, you will own the final deliverables (e.g., the specific website code, compiled app, or exported design files) created specifically for you.

4.3. Portfolio Rights

Unless strictly agreed otherwise in a Non-Disclosure Agreement (NDA), we reserve the right to display the completed project in our portfolio, website, and social media to demonstrate our capabilities.

5. Payments and Refunds

5.1. Payment Schedule

Payments are typically structured as follows unless otherwise stated in your Quote:

• Advance/Deposit: Required to commence work.

• Milestones: Payments due upon completion of specific project phases.

• Final Balance: Due prior to the final handover of source code or live deployment.

5.2. Late Payments

Invoices not paid within [Number, e.g., 14] days of the due date may be subject to a late fee or suspension of Services.

5.3. Refunds

Due to the custom nature of our Services, refunds are generally not provided once work has commenced. If you cancel a project, you are liable for all work completed up to the date of cancellation.

6. Limitation of Liability

To the fullest extent permitted by law, Startuplair shall not be liable for any indirect, incidental, or consequential damages resulting from:

• Errors or interruptions in the operation of your website or app after handover.

• Third-party service failures (e.g., hosting providers, API changes by Google/Apple).

• Loss of data or profits arising from the use of our Services.

Our total liability for any claim shall not exceed the total amount paid by you to us for the specific Service giving rise to the claim.

7. Third-Party Services

Our Services may require the integration of third-party tools (e.g., AWS, Vercel, Stripe). You acknowledge that you are subject to the terms and policies of these third-party providers. We are not responsible for their performance or compliance.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Nepal. Any dispute arising out of or related to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or Services constitutes your acceptance of the modified Terms.
